Welcome to the website of Genetica, Inc., doing business as Serve AI (“Serve AI,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website located at serveitup.ai and any associated subdomains (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
By accessing or using the Site, you represent that you are at least 13 years of age and have the legal capacity to enter into these Terms. If you are accessing the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and that organization.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated effective date. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
The Site is an informational and marketing website that provides information about Serve AI, our products, services, technology, and company. The Site does not offer user accounts, client portals, e-commerce functionality, or subscription services.
You may use the Site solely for lawful purposes and in accordance with these Terms. You agree not to:
The Site and all of its content, features, and functionality — including but not limited to text, graphics, images, logos, trademarks, trade names, service marks, data, software, documentation, methodologies, inventions, processes, techniques, algorithms, model architectures, and all other materials displayed on or available through the Site (collectively, “Site Content”) — are owned by Genetica, Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property and proprietary rights laws.
Serve AI's technology is protected by an extensive portfolio of issued and pending patents covering, among other things, our model construction processes, compression techniques, inference methods, routing architectures, and related innovations. Nothing on this Site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to any patent, trademark, copyright, or other intellectual property right of Serve AI.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Site Content solely for your personal, non-commercial, informational purposes. This license does not include the right to:
Any use of the Site Content not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, patent, and other laws.
“Serve AI,” “Genetica,” the Serve AI logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Genetica, Inc. or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.
The Site and all Site Content are subject to U.S. export control and economic sanctions laws and regulations, including the Export Administration Regulations (“EAR”) administered by the U.S. Department of Commerce and sanctions programs administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (“OFAC”). You represent and warrant that you are not: (a) located in, organized under the laws of, or a resident of any country or territory that is the subject of comprehensive U.S. economic sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); (b) designated on any U.S. government restricted or prohibited party list, including the Specially Designated Nationals and Blocked Persons List, the Entity List, or the Denied Persons List; or (c) otherwise prohibited from accessing the Site under applicable export control or sanctions laws. You agree not to access or use the Site in violation of any applicable U.S. export control or economic sanctions laws or regulations.
The Site may contain links to third-party websites or resources. These links are provided solely for your convenience. We have no control over the contents, products, services, or practices of any third-party websites and accept no responsibility for them. Your use of any third-party website is at your own risk and subject to the terms and conditions of that website.
The Site and all Site Content are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Serve AI disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, Serve AI does not warrant that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) the information, content, or materials on the Site are accurate, reliable, complete, or current; or (c) any defects or errors in the Site will be corrected.
Any information or materials provided on the Site regarding Serve AI's technology, products, or services — including performance metrics, benchmarks, or technical specifications — are provided for informational purposes only and do not constitute a warranty or guarantee of performance.
To the fullest extent permitted by applicable law, in no event shall Genetica, Inc., its officers, directors, employees, agents, affiliates, successors, or assigns be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with: (a) your access to or use of, or inability to access or use, the Site; (b) any content or materials obtained from the Site; or (c) unauthorized access to, use of, or alteration of your transmissions or data, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, whether or not we have been informed of the possibility of such damage.
To the fullest extent permitted by applicable law, the total aggregate liability of Genetica, Inc. for all claims arising out of or relating to these Terms or your use of the Site shall not exceed one hundred dollars ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above exclusions and limitations may not apply to you.
You agree to defend, indemnify, and hold harmless Genetica, Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees) arising from or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any third-party right, including any intellectual property, property, or privacy right.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate (collectively, “Disputes”), shall be determined by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be Wilmington, Delaware.
The arbitrator shall have the authority to grant any remedy that would otherwise be available in court, provided that the arbitrator's authority is limited to Disputes between you and Serve AI alone. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You and Serve AI agree that each may bring disputes against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative action.
Unless both you and Serve AI agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class, consolidated, or representative proceeding.
Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdiction of such court.
You have the right to opt out of this arbitration provision by sending written notice of your decision to opt out to: Genetica, Inc., Overland Park, KS, Attn: Legal, within thirty (30) days of your first use of the Site. If you opt out, neither you nor Serve AI can require the other to participate in an arbitration proceeding.
These Terms and any Dispute shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent that arbitration is not applicable or is deemed unenforceable, you agree that any litigation shall be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction and venue of such courts.
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
The failure of Serve AI to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Serve AI.
These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Site, constitute the entire agreement between you and Genetica, Inc. regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties regarding the same.
